47. SAFETY & SECURITY
All the safety and security regulations and other statutory rules applicable in the area shall be meticulously complied with. In the event of any damage caused due to non-observance of such rules and regulations, the contractor shall be solely responsible for the same and shall keep HPCL indemnified against all losses and claims arising from the same.

Commercial Terms & Conditions

This is only a Tender Enquiry and not an order. This questionnaire duly filled shall be returned along with Un-Priced Bid. Clauses confirmed hereunder should not be repeated in the bid. All the Commercial Terms and conditions should be indicated in this format only. If required, details including deviations, if any, should be indicated as Annexure to this format. Bidders are advised to comply to the terms and conditions of the bid document in the First Instance itself. Please read complete tender document before quoting the rates. HPCL reserves the right to reject the bid on technical grounds & reject / load financially for any deviation as per prevailing norms.




DESCRIPTION

BIDDERS’ CONFIRMATION

01. Two Bid Three Envelop System: EMD, Un-Priced and Priced Bids to be submitted separately in the designated Envelops. HPCL reserves the right to seek clarifications on any or all of information provided by the bidder in the bid documents.

A. UN-Priced Bid
i) Confirm that Rates/Prices have not been quoted in the JDE format of the Un-Priced Bid or anywhere else in the tender documents other than Priced Bid.
ii) Confirm that All fill-up spaces in Un-priced Bid have been clearly filled as appropriate.
iii) Confirm that all unit rates applicable are in Indian Rupees.
iv) Confirm that it is understood that deployment schedule/specifications is acceptable to the Bidder as per the T&C of the documents.
v) Confirm that in the Extras Elements Spaces of the Unpriced Bid – Service Tax Rate has been quoted in % basis by the bidder. Bidder to quote Current rate of Service tax applicable/chargeable.
HPCL shall be at liberty to seek any clarifications regarding service tax/ extras elements quoted by Bidder.
vi) Confirm that the Bidder is registered with appropriate authorities in respect of Statutory levies like Service tax etc., EPF, PF, Gratuity, ESIC etc. as per applicable rules and possess valid PAN Number and clearing all dues as per the statues with the respective authorities.
HPCL will be at liberty to ask the supplier for submitting proof of having paid/incurred the charged statutory payments.

vii) Confirm that in case you have not provided details on the following elements in the JDE format of Un-priced Bid as Y/N (Yes/No), you have understood this clause and do not fall under the items required to be filled up. (DGS&D rate Contract, NSIC Unit, PSE unit, SSI unit).Confirm that you have understood that in case of any disclosure at a later date regarding your firm status being different, value having least cost impact, if any, shall be considered by HPCL with all risks and liabilities regarding the information on your account.
viii) Please confirm that you have understood and accept the Liquidated Damages clause as specified in the tender documents.
B. PRICED-BID
i) Confirm that the unit prices Quoted in the JDE Format of Price Bid – Attachment “D” are the Basic unit Prices only.
ii) Confirm that you have understood that In case you have specified any applicable extras elements as % of unit rate or an add-on amount per unit rate of taxes duties and others etc.in the un-priced bid, the same shall be used for computation of Grand Total Amount (Basic +Others) for calculation purposes else the quoted Basic rates in Priced Bid shall be considered to be landed unit price including all extras elements.
Confirm that you have understood that the bidder shall avoid corrections and overwriting in the priced bid.
iii) Please quote your rates for all items, Please note that, if any item is left unquoted, your quotation will be liable for rejection.

03. Firm Price Clause
Prices shall be kept firm during the contract period/ till completion of the works and no escalation shall be allowed other than variation in the rates of Normal Diesel as specified in the Scope of Job.

Tenders received without EMD for amount specified will be rejected. If EMD is not submitted in separate envelop, such bids shall not be considered at all.

05. Job Commencement/ Contract Period:

Commencement/deployment of the required Services in time is the essence of this Service of which the Bidder has to take a special note.


Contractor must be in a position to Place the vehicle with in 07 days of advice by the Incharge.
As per Scope of Job and Technical terms and conditions.

06. Agency to supply: All vehicles, drivers with fuel and other consumables, tools and tackles and supervision necessary to complete the job. Please read total scope of work before quoting your rates.

08. Security Deposit: 1% of total contract value by DD in favor of HPCL payable at Mundra-Gujarat, to be paid within 07 days from the date of intimation of acceptance of your tender by HPCL.
The EMD amount value equivalent to 1% of the Value shall be converted to Security Deposit. Balance amount, if any towards SD, shall be submitted by bidder by DD. Un-utilised portion of EMD thus converted to SD shall be refunded to the Successful Bidder.

09. Liquidated Damages:

Deployment of Vehicles and execution of the contract as per terms in time is the essence of this Service of which the Contractor has to take a note.


In case of delay in placement of services for execution of this order beyond stipulated delivery period, price reduction will be applicable @ 0.50% of the value of the undelivered items per week of delay or part there of subject to a maximum reduction of 5% of the basic order value of undelivered items.(item-wise penalty). Decision of the Incharge shall be final in this regard.

11. Payment terms
Payment Shall be released with in 15 days from the date of receipt of duly certified bill at the end of completion of the Monthly cycle along with duly authenticated Log sheet by the officer in charge providing details of Mileages covered and supported documents to Finance department HPCL-MDPL, Mundra.
All deductions as per T&C of the TE and Statutes shall be made as applicable.

12. All the provisions of the scope of job/terms & conditions attached herein are accepted without any deviations. All the pages are stamped and signed.

13. Bid Validity: The rates quoted are valid for 3 months from the date of opening of un-priced bid. In the event order is being placed on you quoted prices shall remain firm and fixed till complete execution of the job.

15. Confirm that you have ensured and agree that In case the service provided by you under this contract falls within the scope of the taxable services under Service Tax/ Works Contract rules and if such service is not fully exempted, the Service Tax/ Works Contract Tax is payable on the value of the taxable service received subject to the eligible abatements and fulfilling the service tax rules conditions, if any, in this regard and that you have duly considered this aspect in the bid. Any excessively charged/unsettled amount by the bidder under this head shall be refunded to HPCL.

16. Service tax shall be reimbursed only if mentioned by the bidder in the bid at the time of bids processing/quoting and upon production of proof of having incurred such payment at the time of submitting bills since the evaluation of the bids shall be done with extra elements and bidders themselves would be in a position to identify the applicability of service tax according to their turnover criteria / abatement eligibilities and other parameters as per statutes.

In case bidder does not quote/mention applicability of Service Tax element and in case of disclosure on applicability/non-payment/submission of Service Tax at later date the liability of service tax will entirely be of the bidder from the quoted prices only and HPCL shall not pay separately on this account at a later date and HPCL and its assigns shall stand as indemnified from any claims in this regard. In case Quoted Prices are Provided by the Bidder as Inclusive of Statutory Extras Elements/Service Tax etc., HPCL reserves the right to seek clarification from the bidder in respect of the Statutory elements and back calculate the Quoted values and load the break-ups showing basic and Taxes/levies/Service Tax etc. as confirmed by the bidder in the PO which shall be payable to the bidder against submission of proof of incurring such Payment only.

18. E-mandate :

Confirm that E-payment mandate form (From Nationalised/Schedule Bank) duly filled has been enclosed on letterhead.

In case the e-payment mandate form has already been submitted to our office earlier, confirm that self authenticated copy for our references has been submitted.

In case you are not submitting the E-Payment mandate please confirm that the same shall be submitted within 7 days of request from HPCL.

HPCL reserves the right to make payment in alternate mode also.
