Rəhbər  komitənin  sədrini  ARDNŞ  özünün  Rəhbər  komitəyə  təyin  etdiyi 
nümayəndələr sırasından təyin edir və o, Rəhbər komitənin iclaslarını aparır. 
(c) 
The chairman of the Steering Committee shall be appointed by SOCAR from one 
of its appointed representatives to the Steering Committee and shall preside over 
meetings of the Steering Committee. 
 
 
(d)  
Rəhbər  komitənin  katibini  Podratçı  özünün  Rəhbər  komitəyə  təyin  etdiyi 
nümayəndələr sırasından təyin edir; və onun funksiyasına aşağıdakılar daxildir: 
(d) 
The  secretary  to  the  Steering  Committee  shall  be  appointed  by  Contractor  from 
one  of  its  appointed  representatives  to  the  Steering  Committee  and  shall  be 
responsible for: 
 
 
(i)  
hər  iclasdan  əvvəl  ARDNŞ  ilə  Podratçı  arasında  razılaşdırılan  gündəliyi 
tərtib etmək; və 
(i) 
the  production  of  an  agenda  before  each  meeting  of  the  Steering 
Committee,  such  agenda  to  be  agreed  between  SOCAR  and  Contractor; 
and 
 
 
(ii)  
hər  iclasdan  sonra  ARDNŞ-ın  və  Podratçının  Rəhbər  komitənin 
iclaslarında  səs  verməyə  vəkil  edilmiş  nümayəndələri  arasında 
razılaşdırılmış protokolu tərtib etmək və yaymaq. 
(ii) 
the  production  and  circulation  of  minutes  following  each  meeting,  which 
minutes  shall  be  agreed  between  the  representatives  of  SOCAR  and 
Contractor  who  are  the  representatives  authorized  to  cast  the  votes  in  the 
Steering Committee. 
 
 
(e)  
Rəhbər komitənin qərarı həm ARDNŞ, həm də Podratçı onun lehinə səs verdikdə 
qəbul olunur. 
(e) 
Decisions  of  the  Steering  Committee  shall  require  the  affirmative  vote  of  both 
SOCAR and Contractor. 
 
 
(f)  
Həm  ARDNŞ-ın, həm  də  Podratçının  öz  məsləhətçilərini  və  ekspertlərini  Rəhbər 
komitənin  iclaslarına  göndərmək  hüququ  vardır.  İclaslarda  iştirak  edən 
məsləhətçilər  və  ekspertlər  üçün  çəkilən  xərclər,  Rəhbər  komitənin  buna  razılıq 
verdiyi hallar istisna olmaqla, Ödənilən məsrəflərə aid edilmir. 
(f) 
SOCAR  and  Contractor  shall  each  be  entitled  to  send  advisers  and  experts  to 
meetings  of  the  Steering  Committee.  Unless  the  Steering  Committee  agrees,  the 
cost  of  such  advisors  and  experts  in  attending  the  meetings  shall  not  be  Cost 
Recoverable. 
 
 
(g)  
ARDNŞ-ın  və  Podratçının  nümayəndələrinin  ümumi  sayının  üçdə  iki  (2/3) 
hissəsinin,  o  cümlədən  ARDNŞ-ın  və  Podratçının müvafiq olaraq  səsvermə  üçün 
təyin və vəkil etdikləri iki (2) şəxsin (və ya onların əvəzçilərinin) iştirakı Rəhbər 
komitə üçün yetərsay hesab edilir. 
(g) 
A  quorum  of  the  Steering  Committee  shall  consist  of  at least  two  thirds  (2/3)  of 
the  representatives  from  each  of  SOCAR  and  Contractor,  including  the  two  (2) 
individuals who have been designated by SOCAR and Contractor, respectively, as 
authorized to cast votes (or their alternates). 
 
 
(h)  
Rəhbər  komitə  Təqvim  ilində  iki  (2)  dəfədən  az  olmayaraq  toplanır.  Başqa 
razılaşma  olmadıqda,  iclaslar  Bakıda  keçiriləcək.  Həm  ARDNŞ-in,  həm  də 
Podratçının razılığı olduqda, Rəhbər komitənin qərarları faktiki iclas keçirilmədən 
qəbul edilə bilər, bu şərtlə ki, telekonfrans və ya videokonfransın gedişində 5.2(g) 
bəndinin müddəalarına əsasən müəyyənləşdirilmiş zəruri  yetərsaya riayət  edilsin; 
iclas məktublar, fakslar və ya telekslər mübadiləsi yolu ilə keçirildikdə isə həmin 
məktubların,  faksların  və  telekslərin  surətləri  bütün  Tərəflərə  göndərilmiş  olsun. 
Sonra  qərarlar  dərhal  yazılı  şəkildə  qeydə  alınır  və  ARDNŞ-ın  və  Podratçının 
müvafiq  olaraq  ARDNŞ  və  Podratçı  əvəzinə  səs  verməyə  vəkil  edilmiş 
nümayəndələri tərəfindən təsdiq edilir. 
(h) 
The  Steering  Committee  will  meet  at  least  two  (2)  times  in  a  Calendar  Year. 
Meetings  shall  be  held  in  Baku,  unless  otherwise  agreed.    In  the  event  that 
SOCAR and Contractor agree, the Steering Committee can take decisions without 
holding an actual meeting; provided that in the event of a teleconference or video 
conference  the  quorum  requirements  set  forth  in  Article  5.2(g)  have  been 
complied  with  and  in  the  event  of  a  meeting  via  exchange  of  letters,  faxes,  or 
telexes,  such  letters,  faxes  and  telexes  are  copied  to  all  Parties.    Such  decisions 
shall be recorded in writing promptly thereafter and signed by the representatives 
of  SOCAR  and  Contractor  who  are  authorized  to  cast  the  respective  votes  of 
SOCAR and Contractor. 
 
 
(i) 
ARDNŞ  və  Podratçı  otuz  (30)  gün  əvvəl  bir-birinə  yazılı  bildiriş  göndərməklə, 
Rəhbər komitənin əlavə iclaslarını çağırmaq hüququna malikdir. 
(i) 
SOCAR and Contractor shall each have the right to call additional meetings of the 
Steering Committee within thirty (30) days of written notice to each other.

Annual Work Programs and Budgets 
 
 
(a) 
Rəhbər  komitənin  təşkil  edildiyi  tarixdən  ən  çoxu  otuz  (30)  gün  keçənədək  və 
bundan sonra növbəti Təqvim ilinin başlanmasına ən azı üç (3) ay qalmış, İşlənmə 
və  hasilat  dövrü  ərzində  Podratçı  həmin  Təqvim  ili  üçün  təklif  etdiyi  Neft-qaz 
əməliyyatlarını nəzərdə tutan İllik iş proqramı və ona müvafiq Büdcəni hazırlayır 
və  Rəhbər  komitənin  təsdiqinə  verir,  yaxud  hazırlanıb  təsdiqə  verilməsini  təmin 
(a) 
Not more than thirty (30) days following the formation of the Steering Committee 
and  thereafter  at  least  three  (3)  months  before  the  beginning  of  each  Calendar 
Year, Contractor shall prepare and submit to the Steering Committee for approval 
an  Annual  Work  Program  together  with  the  related  Budget  in  respect  of  the 
Petroleum  Operations  Contractor  proposes  to  be  carried  out  in  such  Calendar
